The Terms of Use, here-in referred to as “Terms” or "terms and Conditions" or "Terms of Service" (ToS) constitute a legal agreement between you and ngSpan. The services provided by ngSpan, hereby referred to in this document as “ngSpan” or “ngEmbassy” or “ngConsulate” or “Platform” or “Community” or “us” or “we” or “our”, are subject to external periodic reviews and recommendations. Consequently, aspects of the Terms of Service which are directly related to the aforementioned external entities are subject to modification according to changes in standards or policies by the aforementioned third-parties, without prior notice. Similarly, information presented on this platform including service scope, subscription pricing and Terms of Service (ToS) are subject to changes without prior notice. Correspondingly, ngSpan’s internal policies, including our privacy policy, shall also be subject to change without prior notification. Please review our Privacy Policy page to understand our practices regarding the use of data we collect from our users especially through electronic means.

 

1. General Terms and conditions

 

1.1 We reserve the right to change these Terms at any time without prior notice. If you do not agree to these terms, you should immediately refrain from using the ngSpan platform, otherwise your continued use of the site and its content will be subject to the terms.

 

1.2 Targetted Service. These Terms and Conditions apply to all services between ngSpan and you, here-in also referred to in this document as “editor” or “author” or “user” or “member” or “reader” or “contributor”. However, each ngSpan targetted service may have specific conditions specified in supplementary agreement as required.

 

1.3 Age Suitability. By using our platform, you have automatically confirmed that you are 18 years old or above, with psycological maturity and ability to sanely make choices of services and reason on adult issues and topics including but not limited to: global politics, economics, trade, diplomacy and social issues.

 

1.4 Language. Our default platform language is English, as such, inquiries and/or complaints will reviewed and/or responded to in English language. We also entertain communication in Hausa, Yoruba, Igbo and Efik, if written in their proper scripts. However, due to our international audience, a contributor to Gallery, Articles, Noticeboard, Events, Investment Opportunities and/or Forum is welcome to publish content only in English, as long as the content does not violate our policies.

 

2. Contributor's Rights and Responsibilities

 

2.1 You are responsible for the content that you contribute. As such, you shall bear all risks and consequences related to the content here-in, including but not limited to accuracy, adequacy and reliability of the content.

 

2.2 You shall bear responsibility for claims relating to intellectual property or other legal rights concerning the content you post. Any disputes that may arise shall be between you and the legal rights owner. ngSpan platform shall be indemnified by you as party to such dispute. This means that we shall not be party to copyright disputes as a result of content contributed by you.

 

2.3 You own the rights to the content you create and post on ngSpan platform. However, you do not own the ngSpan brand or label which may be associated with your content as extended from our platform.

 

2.4 By posting content to ngSpan, you give us a nonexclusive license to publish and promote it, including anything reasonably related to its publicity, including but not limited to storing, displaying, reformatting, and distributing it.

 

2.5 You can post content which already exists on other platform or in other formats, as long as you are legally entitled to do so. However, it is your responsibility to ensure that doing so does not violate any other agreement(s) you may have with a third-party.

 

2.6 If you opt to post content which was not created by you on ngSpan platform, you are representing that you have the right to do so. For example, you are posting a work that’s in the public domain, used under license (including a free license, such as Creative Commons), or a fair use.

 

2.7 You may request to remove any of your post contents at anytime, as long as it does not affect the general analytics and SEO (search engine optimization) of our platform. We may take up to fourteen (14) days to processing the deletion/replacement in order to restructure our data. We may also reserve copies of your deleted posts for much longer after deletion, to retain consistency.

 

2.8. You are solely responsible for keeping backup copies of the content you with to publish on ngSpan platform before and after you publish. We shall not entertain requests to retrieve lost or deleted post(s). In an event of technical failure, we shall not be liable for any losses. See 5.  


 

3. Our Rights and Responsibilities

 

3.1 We reserve all rights in determining operability and aesthetics of the ngSpan platform(s). These include but not limited to features, design, colors, graphics, images, fonts and overall impression. We shall upgrade functionality and design only when we see fit. You may make suggestions and/or bug reports to our technical team but you shall not attempt to re-represent the features and feel of the ngSpan platform in a way that is different from its actual existence.  

 

3.2 We reserve the right to remove any accounts and any posted content for any reason we see fit, at our own discretion.

 

3.3 As a mutual token for ngSpan granting you access to and use of the platform, you agree that we may enable advertising on the Services, including in connection with the display of your content or other information. We may also use your content to promote ngSpan, including its products and content. We will never sell your content to third parties without your explicit permission.

 

3.4 We shall collect information while you use our platform as necessary to for our analytics or general improvement of the platform. To understand what information we collect and how it is used, please see our privacy policy

 

3.5 For consistency sake, we reserve the right to retain user-deleted accounts and/or content for a duration of time we see fit or necessary under special circumstances.


 

4. Prohibition of Illegal and/or Unlawful Use

4.1 All material on the Sites, including data, information, software, images, icons, graphics, graphs, videos, text, music, sounds, documents, and any other content collectively referred to as “our materials“ is/are the property of ngSpan and/or our third party affiliate or content suppliers and is protected by local and international copyright laws. You shall use our materials solely for the uses specifically authorized by us and you will make no other use of it without ngSpan’s express written consent.

 

4.2 Except as specifically authorized, you shall not duplicate, replicate, reproduce, republish, modify, re-represent or participate in similar illegal use in way of exploiting our materials. As a reader or end-user of our materials, you shall not copy, screenshot or extract our materials except for content input by our author and with their express permission.

 

4.3 ngSpan platform does not claim copyright for content contributed by author, but we reserve rights only to the extent that a compilation of that content was created by us. You shall not delete or alter any proprietary rights or attribution notices in the content of our materials.

 

4.4 In the same context in 5.3, you shall not use our platform for any purpose that is unlawful or prohibited by these Terms of Use. This prohibition includes, but is not limited to, maliciously using the Sites in a manner that could damage, disable, overburden, or impair ngSpan Server(s), strain the network, and/or intercept any connection and/or packets between the platform and other users or third parties.

 

4.5 You shall not attempt to gain unauthorized access to the platform, other accounts, computer systems, or networks connected to the platform through hacking, password mining, or any other illegal means.

 

4.6 You shall not obtain or attempt to obtain any materials or information through any means not intentionally made available through the platform. 

 

4.7 You shall not use the platform or the ngSpan or/and related brands to, nor permit any third party to: 

(a)    promote a product, service or message;

(b) impersonate someone else or falsely represent your identity.

(c) defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights of others or publish, post, upload, or distribute any information that would constitute the same;

(d) download, upload, link or otherwise make available materials, software, or any information without the permission and exclusively written consent of the Libtardism platform;

(e) transmit any worms or viruses or any code of a destructive nature;

(f) execute bots intended to spread information without explicitly written permission from ngSpan platform


 

5. Limitation of Liability

ALL INFORMATION, CONTENT, AND SERVICES MADE AVAILABLE THROUGH THIS PLATFORM ARE PROVIDED BY NGSPAN AND/OR ITS AFFILIATES. YOU AGREE THAT UNDER NO CIRCUMSTANCES SHALL WE BE LIABLE FOR DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, EXEMPLARY, OR ANY OTHER DAMAGES ARISING OUT OF YOUR USE OF OUR PLATFORM OR SERVICE. NGSPAN SHALL NOT BE LIABLE FOR DAMAGES IN CONNECTION WITH

(i) ANY ERROR, OMISSION, FAILURE OF PERFORMANCE, DENIAL OF SERVICE (DOS) ATTACK, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS INFECTION, AND/OR OTHER SYSTEM FAILURE;

(ii) LOSS OF REVENUE, ANTICIPATED PROFITS, BUSINESS, SAVINGS, GOODWILL OR DATA; AND

(iii) THIRD PARTY THEFT OF, DESTRUCTION OF, UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF YOUR INFORMATION OR PROPERTY, REGARDLESS OF OUR NEGLIGENCE, GROSS NEGLIGENCE, FAILURE OF AN ESSENTIAL PURPOSE AND WHETHER SUCH LIABILITY ARISES IN NEGLIGENCE, CONTRACT, TORT, OR ANY OTHER THEORY OF LEGAL LIABILITY.

IN NO EVENT SHALL NGSPAN’S CUMULATIVE LIABILITY TO YOU EXCEED THE REMAINING COURSE FEES FOR PAID LESSONS YET TO BE UNDERTAKEN AND IF NO PAYMENT HAS BEEN MADE BY YOU NGSPAN’S CUMULATIVE LIABILITY TO YOU SHALL BE $0.

 

6. Severability

If any provision of these terms of service is held by any competent authority to be invalid, in conflict with supplementary Agreement, and/or unenforceable in part or in whole, the validity of the other provisions of these terms of service and the remainder of the provision in question shall thereby not be affected.

 

7. Entirety of the Terms of Service

These terms of service constitute the general understanding between the ngSpan Platform and its members, and it is supplementary to the specific Agreement of each service if it exists. Neither party shall rely on any representation or warranty except as explicitly set out in these terms and/or specific Service Agreement if it exists. Any disputes of any sort that may arise despite these terms without regard to principles of conflict of laws, shall be referred to the appropriate local jurisprudence within any of the territories where we have an office.
